These Terms of Service ("Terms") govern your access to and use of Kloup ("we", "our", or "us"), including any websites, APIs, applications, or services that link to these Terms (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You're responsible for everything that happens under your account, including any content you submit and any actions taken by people you grant access to your workspace.
2. Your workspace
Kloup is multi-tenant: each organization gets its own workspace and subdomain. You retain all rights to the data you put into your workspace ("Customer Data"). We don't sell or use Customer Data to train third-party models. We do process it to provide the Service — see our Privacy Policy for specifics.
3. Acceptable use
You agree not to:
- Use the Service for anything illegal, deceptive, or harmful;
- Interfere with the integrity or performance of the Service or anyone else's workspace;
- Attempt to access another organization's data without authorization;
- Reverse-engineer, scrape, or rate-abuse our API beyond documented quotas;
- Upload malware, attempt account takeover, or use the Service to send unsolicited bulk email.
4. Pricing and billing
Paid plans renew automatically until cancelled. We may update pricing at any time, with at least 30 days' notice for active customers. You can cancel anytime; refunds for partial periods are at our discretion.
5. Third-party integrations
The Service connects to third-party providers like Google (Calendar / Drive / OAuth), SendGrid (email), Apollo (enrichment), and others. You're responsible for complying with each provider's terms. We're not liable for outages, data loss, or behavior changes caused by upstream providers.
6. AI-generated content
Some Kloup features (investor updates, drafting, summaries) use third-party large language models. We pass the minimum context needed to fulfil your request. AI output is a draft — you're responsible for reviewing accuracy, tone, and confidentiality before sharing it.
7. Suspension and termination
We may suspend or terminate access if you breach these Terms, if your account poses a security risk, or if required by law. You can delete your workspace anytime through Settings; we'll remove backups within a reasonable period thereafter.
8. Disclaimers
The Service is provided "as is". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that all data will be preserved.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability under these Terms is limited to the fees you paid us in the 12 months prior to the event giving rise to the claim. We're not liable for indirect, consequential, special, or punitive damages, including lost profits, revenue, or data.
10. Changes
We may revise these Terms. Material changes will be highlighted in Settings or by email at least 14 days before they take effect. Continued use after that date constitutes acceptance of the new Terms.
